The agreement

These Terms of Service are an agreement between Conduit Dynamics, a company based in Florida, and the boat or aircraft repair shop that subscribes to Keel & Wing (the shop, or you). Keel & Wing is communication software. By creating an account or using the service you agree to these terms. The section called Text messaging program terms also applies to the shop's customers who receive text messages through Keel & Wing.

The service

Keel & Wing answers your phone with an AI assistant in English and Spanish. It texts back missed calls. It keeps a two-way message inbox. It sends photo estimates to your customers for approval. It sends repair status updates. It schedules appointments. It collects deposits and payments through Stripe. It gives you a dashboard. Features depend on the plan on your order form.

What Keel & Wing is and is not responsible for

Keel & Wing is communication software only. It does not diagnose, repair, inspect or certify anything. You remain responsible for every diagnosis, every price, every completion date and every repair communicated through the service. The AI assistant does not quote a price unless you have entered a price list. It does not promise a completion date unless you have set a rule for it. For aircraft, all maintenance records are signed by the certificated mechanic. The software only drafts text for a human to review. It never decides airworthiness or inspection due dates. You must review every AI-drafted estimate, message and record before relying on it or sending it as your own.

AI disclosure

The AI assistant answers on behalf of your shop. Whenever a caller or texter asks whether they are speaking with an AI or a person, it says truthfully that it is the shop's AI assistant, in the caller's language. It never claims to be a human or a named member of your staff. If you have signed the separate Voice Cloning Consent, the assistant may speak in your cloned voice. You may not configure or ask us to configure the assistant to deny that it is an AI or to claim to be a person.

Emergencies

Keel & Wing is not an emergency service. If a caller reports water coming into a boat, a fire or an injury, the assistant tells the caller to call 911 or hail VHF channel 16, then pages your on-call number. If an aircraft is grounded away from base, the assistant transfers the caller to your on-call mechanic. You must keep a working on-call number on file.

Your obligations

You agree to give accurate information about your business, hours, staff and prices. You agree to obtain the consents your customers' law requires for text messages and any call transcript retention you turn on, and use the consent tools in the service for that purpose. You agree to send only service-related text messages unless you have separate written consent for marketing. You agree to honor STOP and PARA requests, which the service enforces automatically. You agree to keep your login credentials safe and tell us about any unauthorized use. You agree to use the service only for lawful purposes and within your own business. You agree not to resell or share your account with another business.

Your data

The data you collect through Keel & Wing belongs to you. Conduit Dynamics processes it to run the service as described in the Privacy policy. We do not sell personal information. We do not train artificial intelligence models on shop data outside the shop's own account without the shop's written consent. Call recordings are kept 90 days by default. You can set a different retention period. On request, we delete your data within 30 days. Card data is handled by Stripe only. We store payment tokens and receipts.

Fees and payment

Fees, included minutes, phone numbers and setup charges are listed on your order form. Fees are billed through Stripe to the payment method on file. Payment processing fees are passed through. Term, cancellation and suspension

This agreement runs month to month unless the order form says otherwise. Either party may cancel with written notice. [PLACEHOLDER: notice period, for attorney] On cancellation we stop answering your lines at the end of the paid period, delete the owner's cloned voice, and delete your data on request within 30 days. We may suspend the service if you break these terms, send unlawful or unconsented messages, or put other shops' data or the service at risk.

Text messaging program terms

Program name: Keel & Wing text messages, sent on behalf of the shop by Conduit Dynamics. Program description: service messages between a boat or aircraft repair shop and its customers, including appointment confirmations, estimate approval requests, repair status updates, and two-way replies. Customers opt in by calling the shop or booking service and agreeing to receive text messages; each opt-in is logged with time and source. Message frequency varies. Message and data rates may apply. Reply STOP to cancel. Reply HELP for help. Spanish speakers can reply PARA to cancel and AYUDA for help; STOP and HELP also work. Acceptable use

You may not use Keel & Wing to send marketing or promotional text messages without separate written consent from the recipient. You may not use it to send messages that are unlawful, deceptive or abusive. You may not use it to contact people who have asked not to be contacted. You may not use it to collect card numbers outside Stripe. You may not use it to impersonate a person without consent. We may remove content or suspend accounts that break these rules.

Disclaimer

Keel & Wing is provided as is. Phone, text and internet services depend on carriers and providers we do not control. We do not guarantee that every call will be answered or every message delivered. Limitation of liability

To the extent Florida law allows, Conduit Dynamics is not liable for indirect, incidental or consequential damages. Our total liability for any claim is limited to the fees you paid in the [PLACEHOLDER: 12] months before the claim. Governing law and venue

These terms are governed by the laws of the State of Florida. Any dispute will be heard in the state or federal courts located in Miami-Dade County, Florida. Both parties agree to that venue.

Changes to these terms

We may update these terms. We will post the new version with a new effective date. We will email you about material changes at least 30 days before they take effect. Continued use after that date means you accept the new terms.
